Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Dicyd websites, applications, intake pages, portals, APIs, and related services (collectively, the "Services") operated by Dicyd, Inc. ("Dicyd," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. What Dicyd Does (and Does Not Do)
Dicyd provides a pre-visit decision layer for outpatient clinics. Dicyd helps determine whether a requested appointment is administratively ready to proceed based on non-clinical intake information (such as insurance, referral status, or administrative requirements).
Dicyd does not:
- Provide medical advice
- Provide clinical triage or diagnosis
- Schedule appointments
- Replace clinic staff, EHRs, or billing systems
- Verify insurance eligibility in real time (unless explicitly stated)
All medical care decisions remain the sole responsibility of licensed healthcare providers.
2. Eligibility
- You must be at least 18 years old to use the Services.
- Clinic users represent that they are authorized by their organization to access and use Dicyd on its behalf.
3. Users and Roles
Dicyd supports multiple user types, including:
- Patients (limited to intake and messaging flows)
- Clinic staff and administrators
- Authorized API users
Access and permissions are determined by role, organization, and location. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
4. Patient Intake and Communications
Patients may interact with Dicyd through:
- Web intake pages
- SMS or other messaging channels
- Limited automated responses
By submitting information, patients authorize Dicyd to process that information solely to support administrative decision-making and routing for the clinic.
Dicyd does not guarantee appointment availability, acceptance, or insurance coverage.
5. SMS and Text Messaging Terms
Program Name: Dicyd Appointment Notifications
Program description: When you provide your mobile phone number and opt in to receive text messages during the intake process, you agree to receive automated SMS messages from Dicyd on behalf of your healthcare provider. These messages are transactional and service-related. They may include:
- Appointment confirmation requests
- Scheduling links
- Requests for missing intake information
- Outstanding balance notifications
- Follow-up messages related to your appointment request
Consent is not a condition of purchase or service. Opting in to receive text messages is not required to submit an appointment request or to receive care. If you do not opt in, clinic staff will contact you by other means.
Messages are recurring. Message frequency varies.
Message and data rates may apply. Contact your wireless carrier for details about your text messaging plan.
To opt out: You can cancel SMS messages at any time. Text "STOP" to the number from which you received messages. After you send STOP, we will send you a confirmation message. You will no longer receive SMS messages from us unless you opt in again.

Carriers (including but not limited to T-Mobile, AT&T, and Verizon) are not liable for delayed or undelivered messages.
No mobile information sharing. We will not sell, rent, or share your mobile phone number, SMS opt-in data, or any information collected through the SMS program with third parties or affiliates for their marketing or promotional purposes. Information may be shared with service providers (such as our SMS delivery platform) solely to operate the messaging service.
Supported carriers include but are not limited to AT&T, T-Mobile, Verizon, Sprint, U.S. Cellular, and other major U.S. wireless carriers. Service availability may vary by carrier.

6. Acceptable Use
You agree not to:
- Use the Services for unlawful or fraudulent purposes
- Submit false, misleading, or impersonated information
- Attempt to bypass security, rate limits, or access controls
- Use Dicyd as a medical or emergency service
- Interfere with system integrity or availability
Dicyd may suspend or terminate access for violations.
7. Clinic Responsibilities
Clinics remain responsible for:
- Verifying insurance eligibility and coverage
- Obtaining referrals or authorizations
- Scheduling appointments
- Compliance with healthcare, privacy, and billing laws
- Final decisions regarding patient care and appointments
Dicyd provides decision support, not guarantees.
8. APIs and Integrations
Use of Dicyd APIs is subject to:
- Issued API keys
- Rate limits
- Scope restrictions
- These Terms and any applicable integration documentation
Dicyd may modify or discontinue APIs with reasonable notice.
9. Intellectual Property
All content, software, workflows, and designs within Dicyd are owned by Dicyd or its licensors and are protected by intellectual property laws.
You may not copy, modify, distribute, or reverse engineer the Services except as expressly permitted.
10. Privacy
Use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect information.
Dicyd processes data on behalf of clinics and acts as a service provider, not a healthcare provider.
11. Disclaimers
The Services are provided "as is" and "as available."
Dicyd disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Dicyd does not warrant that:
- Decisions will be error-free
- Appointments will be accepted or paid
- Coverage determinations are complete or final
12. Limitation of Liability
To the maximum extent permitted by law, Dicyd shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue or business interruption.
Dicyd's total liability shall not exceed the amount paid to Dicyd by the clinic in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Dicyd from claims arising out of:
- Your use of the Services
- Information you submit
- Your violation of these Terms
- Clinic decisions or patient outcomes
14. Termination
Dicyd may suspend or terminate access:
- For violations of these Terms
- For security or operational reasons
- Upon clinic account termination
Certain provisions survive termination, including disclaimers and limitations of liability.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
